im doing the same thing with mine you just have to be careful that the rope is going the right way round the drum and the gearbox is in the upright position!

It wil depend on the brand. Warn winches use to have a couple notches on the motor side. This were used in order to let the water drain. If the winch is mounted in upright position the notches were able to do the job but if you mount it upside down the water will be held inside with all the problems knwon as rust, electrical failure etc.
